Restructuring — whether changing conditions may affect decisions to right-size operations, exit a business line, sell non-core assets, consolidate activities, or reposition the business.
Capital Strategy — whether a development may affect options such as bringing in investors, refinancing debt, raising shareholder funding, or changing the company’s capital structure.
The purpose is to identify the options, implications, and questions that may deserve closer consideration.
Transaction Explainers
Transaction Explainers take important regulations, transaction rules, or investment mechanics and make them easier to understand — what they mean in practical terms, when they become relevant, and why a board, investor, company, or adviser may need to care.
Decision Notes and Transaction Explainers are occasional and editorially selected. They are not guaranteed in every issue.

Suggestions are considered editorially, with priority given to matters that appear relevant to the broader membership. They do not create an obligation to publish or provide individualized professional advice.
Corporate membership
All Briefings, Decision Notes, Transaction Explainers, and Member Library materials remain copyrighted and are not for external redistribution.
Corporate members may circulate the materials internally within the subscribing company and its corporate group for reasonable internal use, without an additional per-user fee.
